1. Who are Greenpaw?

1.1 Greenpaw are part of Green Paw Project, a UK Registered Charity (Charity number: 1166316) (“we”, “us”, or “our”, “Green Paw Project”) is committed to working collaboratively to regenerate lands on our planet for future generations by connecting businesses and their customers with carbon offsetting partners and local communities.

1.2 Green Paw Project refers to our website, including its subdomains and any other websites and applications for mobile or tablet through which we make our Services available (including any Application Program Interfaces (API)).

1.3 Whenever we say “us” we mean Green Paw Project, and when we say “you”, we refer to a “user” or “customer” of our services and offerings.

3. Definitions and interpretation

3.1 Our services and platform aim to guide you towards a reduced carbon footprint through various Climate Action tools. This encompasses offsetting carbon footprints, funding climate projects, and showcasing your impact through a dedicated report with links to projects verified by Green Paw Project.

3.2 On our platform and potential future applications, you can contribute to conservation projects and help tackle the climate crisis.

3.3 To access our Services, users must use the ecommerce platform on the www.greenpawproject.com giving your name, email etc. We reserve the right to deny access to our Services.

3.4 Account creation requires accurate information which should be regularly updated. Account security is the responsibility of the user, including password protection.

3.5 Services are available for purchase through our subscription plans, after which you are recognised as one of our Users.

3.6 Depending on the subscription chosen, you will be given access to Green Paw Project platform, offering tools/features in accordance with the level of subscription purchased.

3.7 Monthly subscription cancelations requires a 30 days’ notice sent via email. All other one off payment services are none refundable after a 14 day cooling off period.

3.8 Our platform provides information on charities and projects supported through your contributions.

3.9 Joining our Partner Program will involve these Terms and Conditions as part of any additional agreement.


4. User

4.1 A User refers to any entity meeting the following criteria: 1) Having a subscription with Green Paw Project, 2) Made a payment for our services in the past year, 3) Adhering to our Terms and Conditions, 4) Not engaging in deceptive green marketing practices.

4.2 Users are granted a non-exclusive right to utilise specific materials, including trademarks and logos.

4.3 All intellectual property rights in Green Paw Project materials are retained by us. Users are granted a limited license, which can be terminated per terms set in additional agreements.


5. Functionality Requirements

5.1 Our software offers:

5.1.2 Account subscription monitoring;

5.1.3 Downloadable content for social media on request.


6. Reporting

6.1 Transaction Reports and/or Customer Data reports will be accessible.

6.2 Reports will include tracked sales, donations, fees, and other pertinent details.


7. Payments and donations

7.1 All subscriptions are directly payable to us. 100% of donations for carbon offsets will be managed by us, to be directed to verified projects and charities.

7.2 Donations are transferred monthly to chosen beneficiaries associated with Green Paw Project.

7.3 Payments are calculated based on the agreement and/or the tracking metrics via the API on your website.

7.4 Discrepancies in the tracking API installation may lead to alternative fee calculations.

7.5 Users can query any data discrepancies in writing before month-end.

7.6 Third-party payment providers may offer different payment methods.

7.7 We prioritise your security and do not store payment card details.

7.8 All payments undergo currency conversion to GBP  by our third-party payment provider. Any underspend due to currency variation will be used annually for added Climate Impact.


8. Material on the Site

8.1 Unless specifically mentioned or evident, all materials presented by us on the platform belong to Green Paw Project or are credited to the respective authors.

8.2 Via Green Paw Project, users may access resources from third-party providers. Users recognize that Green Paw Project doesn't oversee these third-party resources and, as a result, isn't accountable for their content or availability. Terms related to resources from third parties, including rights, arise from each third-party’s individual terms or, if not provided, the relevant laws.


9. Acknowledging the Terms

9.1 By leveraging our Services, you confirm that:

9.1.1 you've comprehended these Terms and Conditions;

9.1.2 you embrace the latest version entirely;

9.1.3 you're dedicated to settling any fees for the Services and Donations you opt for; and

9.1.4 you grasp that a formal Agreement comes into being upon accepting these Terms.

9.2 We strive to remain current, hence these Terms might undergo alterations. We’ll inform you of any significant shifts, and if you disagree, you’ll need to cease using our Services.

9.3 Upon agreeing to these Terms, you confirm that there’s no collaborative, employment, or representative relation between us. No third-party entity is intended to enforce any of these provisions.


10. Accountability

10.1 You bear the financial responsibility for transactions via your account with us. This includes any losses we might face due to your violation of these Terms or misuse of our offerings. This encompasses scenarios where you intentionally let another party use your account for transactions.

10.2 We aren’t accountable for unforeseeable losses or damages, nor for business-related losses. We also won't be liable for any damages not directly linked to our Services. However, this doesn't diminish our responsibility for any fatalities or injuries due to negligence by us, our agents, or employees; or any deceitful activities by us or our personnel.

10.3 Despite the aforementioned, neither party shall bear responsibility for indirect losses, regardless of the cause. Our liability won't surpass the amount you've paid us for related Services.


11. Data

11.1 Users consent to our Privacy Policy. Data may be processed outside the user's country.


12. Important bits and pieces

  • Users can end contracts for specific reasons and are eligible for a full refund within a 14 day cooling off period.
  • Users can cancel purchases or subscriptions within a 14 day cooling off period.
  • Users affirm they aren’t on any sanctions-related lists.
  • Our website and apps' intellectual property rights are reserved.
  • English law governs these terms, with few exceptions.


13. Customers from the European Union

Users must hold Green Paw Project harmless against any liabilities due to service misuse or terms breach.


14. Customers from Australia

Specific liabilities and rights are addressed in relation to the Competition and Consumer Act 2010.


15. Customers from the United States Of America

  • Separate terms apply to US residents.
  • Users are warned about binding terms and conditions.
  • Disclaimers on service quality and limited liabilities are mentioned.
  • Disputes are subject to arbitration with the American Arbitration Association.
  • Class action and jury trial rights are waived in favor of individual arbitration.


16. Complaints

16.1. Should concerns regarding the services of the Agent emerge, it is advised to communicate these in written form to the Agent's primary location no later than 7 days after the contract's end.

16.2. The Company will address these concerns using its predefined complaint resolution process and aims to respond within 30 days from the day the written concern is received.


17.Rights of Third Parties

17.1. This Agreement is tailored for the mutual understanding between the Customer and Green Paw Project, including their relevant successors and approved assignees, if applicable. It isn't designed to extend benefits or rights to other external entities.


18. Enforceability

18.1. Should any clause or component of these Terms and Conditions be deemed illegal, invalid, or unenforceable for any given circumstance, that specific clause will be excluded, ensuring the remaining clauses retain their validity.


19. Interpretation

19.1. These Terms and Conditions hold precedence over any other terms listed elsewhere or inferred through law, customary trade practices, or regular business dealings.


20. English Law

20.1. The stipulations within this Agreement are aligned with and governed by the judicial standards and legal systems of England and Wales.
